    Pursuant to the concurrent Share Placement and Convertible Bonds offering, Yanlord Holdings Pte. Ltd. had entered into a placement agreement and share lending agreement, both dated 17 June 2009, as announced by Yanlord Land Group Limited (the "Company") on 18 June 2009 (the "Announcement"). Subject to the terms and conditions of the aforesaid agreements, Yanlord Holdings Pte. Ltd. shall (a) pursuant to a vendor sale, dispose of 10,000,000 shares; and (b) pursuant to a share lending arrangement, as lender, lend 110,000,000 shares to J.P. Morgan (S.E.A.) Limited, as borrower, to facilitate the placement of 110,000,000 shares by the Company as detailed in the Announcement.

    110,000,000 new shares have been allotted and issued by the Company, and accordingly returned to Yanlord Holdings Pte. Ltd. as the lender pursuant to the aforesaid share lending arrangement.

    The percentage of issued share capital after the change is computed based on 1,941,334,476 issued shares of the Company as at 26 June 2009, after the allotment and issue of the 110,000,000 new shares.

    Mr Ng has on the following dates purchased the Company's convertible notes due 2012 ("Yanlord Notes"):
    (a) 21 November 2008 - SGD250,000 Yanlord Notes at 64.75% for SGD161,875
    (b) 24 November 2008 - SGD250,000 Yanlord Notes at 62.50% for SGD156,250

    The Yanlord Notes are convertible into fully paid ordinary shares of the Company pursuant to the terms and conditions of its offering circular dated 2 February 2007.
