The Yanlord Notes are convertible into fully paid ordinary shares in the capital of Yanlord Land Group Limited ("Company") pursuant to the terms and conditions of its offering circular.
Mr. Zhong Sheng Jian is deemed to be interested in the shares of the Company held by Yanlord Holdings Pte. Ltd., a company owned by Mr. Zhong Sheng Jian (95% shareholding interest) and his spouse (5% shareholding interest).
Percentages of issued share capital are computed based on 1,831,334,476 issued shares of the Company as at 3 April 2009. |
